Home Credit agrees to sell 100% of its Philippines and Indonesian operations in transactions worth combined valuation of €‎615 million

Home Credit Group B.V. today announce the signing of an agreement to sell two of its Asia based businesses in deals worth approximately €‎615 million.

The transaction has been reached with a consortium of Mitsubishi UFJ Financial Group (“MUFG”) affiliates and is led by Krungsri Bank, a leading Thai institution. The consortium also includes MUFG Bank, Adira Finance (a subsidiary of Bank Danamon which is an affiliate of MUFG) and a local Indonesian investor, as required by Indonesian regulations. The deals are subject to Krungsri shareholder approval as well as customary regulatory approvals. The transactions are expected to close by H2 2023.

Details of the deals include:

  • Krungsri and MUFG Bank to purchase 75% and 25% respectively of Home Credit Philippines for a valuation of €406 million
  • Krungsri, Adira and a local Indonesian investor to purchase 75%, 10%, and 15%, respectively of Home Credit Indonesia for a valuation of €209 million.
  • The final consideration is subject to one-to-one adjustment based on the equity book value at closing of the transaction.
